Abstract

Gelişen ekonomik hayatın vazgeçilmez ve temel unsurlarından olan anonim şirketlerin yönetim ve temsil organı olan yönetim kurulunun oluşumu, toplanması, karar alması ile üyelerin sorumluluklarının neden ve kapsamlarının belirlenmesi oldukça önemli ve hukukumuzda da tartışmalı olan konulardır. Çalışmamıza yönetim kurulunun yapısı ve işleyişinin bütünü üzerinde değil özellikle yönetim işlevi, toplanma ve karar alma süreçleri ile kararların geçerliliği konu edilmiştir. Bu kapsamda birinci bölümde yönetim kurulu hakkında genel açıklamalar başlığı altında, yönetim kurulunun yapısı, toplantının anlamı ve yönetim kurulunun görev ve yetkileri, ikinci bölümde yönetim kurulu toplantısının işleyişi başlığı altında, toplanma ve karar almaya ilişkin usulü işlemler, üçüncü bölümde ise yönetim kurulunun işleyişine ilişkin usule aykırılığın sonuçları başlığı altında, kararların geçersizliği ve üyelerin sorumluluğu incelenmiştir. Management of joint stock companies which are among the indispensable and fundamental parts of developing economic life, formation, convention and decision-making process of their executive boards which are the representative organs of joint stock companies, determination of the reasons and scopes of the responsibilities belonging to their members is a very important and controversial subjects in our legal literature. The subject of this thesis is the executive role, convention and decision making processes of the executive board and the validity of their resolutions, not the whole aspects of the board. In this scope, the first part of the thesis treats the structure of executive board, meaning of meeting, duties and powers of the executive board under the heading of general information on executive board. The second part attempts to examine procedural transactions on convention of the board and decision making process under the heading of functioning of executive board meeting, while the third part discusses invalidity of resolutions and the responsibility of members under the heading of consequences of violation of executive board meeting procedure.
