Acentenin ücreti ile ilgili bilgi alma ve inceleme hakkı

Abstract

6762 sayılı TTK’nın 131. maddesinin aksine, 6102 sayılı TTK’nın 116. maddesi, acentenin ücretine ilişkin bilgi alma ve inceleme hakkını kapsamlı bir şekilde düzenlemiştir. Söz konusu hüküm, acenteye ücret istemi, muacceliyeti ve hesaplanması bakımından bilgi isteme hakkı, ücrete bağlı işlemlere ilişkin defter kayıtlarının suretlerinin verilmesini isteme hakkı ve ticari defter ve belgelerin bizzat inceleme veya uzman aracılığı ile incelenmesini isteme hakkı olmak üzere birbirini tamamlayan üç hak tanımıştır. Bilgi ve belge talep etme hakkının aksine, inceleme hakkı daha kapsamlı bir kontrol hakkı olduğundan, bu hakkın kullanımı ağır şartlara tabi tutulmuştur. Buna göre, acentenin inceleme hakkını kullanabilmesi için, müvekkilin defter suretini vermekten kaçınması ya da defterlerin doğruluğu ve tamlığı konusunda kuşku duymayı gerektiren haklı nedenlerin bulunması gerekir. Acente, müvekkilin defter ve belgelerini bizzat inceleme yerine, bir uzman aracılığıyla incelenmesini isteme hakkına da sahiptir. Bu konudaki seçim hakkı, müvekkile değil acenteye aittir. Bilgi ve belge alma veya inceleme istemleri cevapsız bırakılan, haksız olarak reddedilen, ertelenen ve bu hüküm anlamında bilgi alamayan her acente, mahkemeye başvurmaya yetkilidir. Acentenin bilgi alma ve inceleme hakkını düzenleyen TTK m. 116.2 hükmü, acente lehine emredici olarak düzenlendiğinden, bu hakkın genişletilmesi mümkün olmakla birlikte, hakkı ortadan kaldıran veya sınırlandıran anlaşmalar geçersizdir.

In contrast to s. 131 of the Turkish Commercial Code No 6762, s. 11 of the Turkish Commercial Code No. 6102 deals, in detail, with the right of agency to commission, the right of agency to get information and the right of agency to inspect documents. The provision gives the commercial agency the right to ask for commission, in order to calculate due date of commission the right to ask for a copies of books records of the principal and the right to ask for inspection of the principal‘s commercial records. The right to inspect the commercial books of the principal, in contrast to the right to ask for copies of records, is subject to heavier conditions. That is to mean that in order to inspect the commercial books of the principal, the principal shall avoid to give copies of them or records of the principal shall have some illegalities that the agent may have good reason to think so. The commercial agent may himself of by service of the professional inspect the commercial books of the principal. It is up to the commercial agent to choose any of them. If the application of the agent to inspect the commercial records of the principal, the agent has right to sue the principal. Since s. 116(2) of the Code No. 6102 lays down command for the benefit of the agent, the content of the right may be expanded. But, agreements on the limitation or exclusion of the rights of the agent are void.
