6102 Sayılı Türk Ticaret Kanununa Göre Müvekkilin Acenteye Bilgi Ve Belge Verme Yükümlülüğü

Özet
6762 sayılı TTK da müvekkilin acenteye olan borçlarına ve bu kapsamda müvekkilin bilgi ve belge verme yükümlülüğüne ilişkin özel bir hüküm öngörülmemişken, 6102 sayılı TTK, bu konuyu Müvekkilin borçları yan başlığı ile 120. maddede ayrıntılı bir şekilde düzenlemiştir. Söz konusu hüküm uyarınca, müvekkil acentelik f aaliyetinin yürütülmesi için gerekli olan bütün bilgileri acenteye vermek zorundadır. Acentelik sözleşmesinin başarılı bir şekilde yerine getirilmesi için gerekli olan hususları bildirmeye ilişkin genel bir bilgilendirme yükümlülüğünün öngörülmesinin yanında, önemine binaen iki husus hakkında acentenin özellikle bilgilendirilmesi gerektiği vurgulanmıştır. Buna göre, müvekkil özellikle iş hacminin acentenin normalde bekleyebileceğinden önemli surette düşük olabileceğini ve acentenin yap tığı işleri kabul edip etmediğini ya da yerine getirilmediğini uygun bir süre içinde bildirmek zorundadır. Müvekkilin bilgi ve belge verme yükümlülüğü emredici olarak düzenlendiğinden, bu yükümlülüğe aykırı yapılan bütün işlemler geçersizdir. Bilgi ve belge verme yükümlülüğüne aykırılık halinde, acente aynen if a davası açabileceği gibi, bundan dolayı uğramış olduğu zararın tazminini de talep edebilir. Ayrıca somut olayın özelliklerine göre acente, haklı nedene dayanarak sözleşmeyi f eshedebilir.
While there were no binding rules in the Commercial Code No 6762, the Commercial Code N0 6102 has a side-heading called Resp onsibilites of t he App ointee in s. 120. Accoding to s. 120 of the Code No 6102, the app ointee hast o give all the required inf ormation and documents tot he agent, to f ulfi ll his f unctions. In line with this general p rovision, the app ointee has to inf orm the agent whenever the workload is less than exp ectation of the agent and the app ointee hast o notify the agent whether he accep ts to works.Since the requirement of the s. 120 is f orces the app ointee to behave in certain way, not obeying the s. 120 shall make all acts void. The agent shall have right to comp ensation, to cancel the agreement.
